Campus Management Acquires Talisma CRM

Higher Education’s leading Constituent Relationship Management application expands Campus Management’s ecosystem



(Boca Raton, Florida – November 14, 2008) –
Campus Management Corp. announced today that it has finalized an agreement with nGenera Corporation and has acquired assets of its subsidiary, Talisma Corporation. The assets include nGenera’s Talisma CRM software, the Talisma Higher Education business division based in Bellevue WA, and Talisma Corporation Pvt. Ltd., an operating unit in Bangalore, India. Terms of the transaction were not disclosed.

Talisma CRM is a leading software product for strategic enrollment management, student retention, student services, education finance, alumni relations and IT Helpdesk. Leading education organizations using Talisma CRM include Bisk Education, Duke University Fuqua School of Business, eCollege, Johnson & Wales University, Strayer University, University of Alabama, and University of Nebraska.

The parties also announced agreements that will enable Campus Management to sell, integrate and support nGenera’s Knowledgebase software, which is widely used by customers deploying the Talisma CRM product. Campus Management will own the Talisma brand, and nGenera will retain ownership of Talisma’s CIM (Customer Interaction Management) software product and business, which aligns with its vision for on-demand business solutions. In effect, customers using Talisma CRM software will now be served by Campus Management, while nGenera continues to serve and expand its CIM line of business.

Why was Talisma CRM acquired by Campus Management?
Campus Management’s acquisition of nGenera’s Talisma CRM (Constituent Relationship Management) product suite and the Talisma Higher Education business accomplishes key goals for both companies.

Campus Management Corp. is a fast-growing, privately held enterprise software company that is seeking acquisition opportunities to help broaden its products and services ecosystem, expand its resources, and grow its market reach.

For Campus Management, acquiring the Talisma CRM business accelerates its CRM program, enabling it to immediately deliver to its customers a robust solution that is already in use at major colleges and universities, such as Duke University, INSEAD, National University, Strayer University, and University of Nebraska. Additionally, more than 170 employees from Talisma are joining Campus Management, bringing with them experience and skills in software development, professional services and support, and sales and marketing. nGenera acquired Talisma Corporation earlier in 2008, and has rapidly integrated the company’s Customer Interaction Management (CIM) and Knowledgebase applications into its on-demand product line. nGenera’s primary customers are large enterprises in the Global 2000, and the sale aligns nGenera’s offerings with its target customers.


Who is Talisma?
Talisma was founded as a company focused on CRM. The Talisma CRM software suite enhances constituent satisfaction, student recruiting and retention by orchestrating highly targeted campaigns and communication plans using a dynamic, easy to use relationship management platform. Related offerings in the Talisma CRM suite include integrated Web portals with content management, event management, reporting and analytics, and a system-wide knowledgebase of use to staff or constituents. The solutions may be managed on-premise by the customer, or delivered to users over the Internet as a fully managed and supported Web service.

Incorporated in 1999, Talisma’s Higher Education unit is based in Bellevue, Washington with additional operations for development, sales, marketing, and support in Bangalore, India. Associates in the Higher Education business serve more than sixty colleges and universities. What is being acquired from Talisma?
Campus Management is acquiring CRM assets from Talisma Corporation, a subsidiary of nGenera, including:
  • Talisma CRM software application suite
  • Talisma Higher Education, a business unit based in Bellevue, Washington
  • Talisma Corporation Private, Ltd., a closely allied operating unit for software development, sales, marketing, services, and support in Bangalore, India
  • Re-seller rights to Talisma Knowledgebase (KB) in Higher Education
  • The Talisma tradename, web sites, other intellectual property and registered marks
For a period, Campus Management and nGenera have agreed that Campus Management will have exclusivity in the CRM and knowledgebase product categories within Higher Education. nGenera maintains ownership of the CIM (Customer Interaction Management) and Knowledgebase software and businesses, which are closely aligned to its vision as a provider of on-demand business solutions to Global 2000 enterprises.

Strategy and operations

What do customers need to know or to do?
Talisma customers do not need to take any immediate actions. Support, maintenance, hosting, and other services will continue without interruption; continue to use the most current telephone and electronic contact information.
Customers will be notified by the companies as to changes, if any, in billing, support, account management, and other areas. nGenera and Campus Management have plans in place to ensure continuity and support for all Talisma’s customers during and after the transaction.

For all customers running only the Talisma CRM product:
  • Campus Management becomes your provider.
For customers in the Higher Education sector using Talisma CRM and/or Talisma KB:
  • Campus Management becomes your provider.
For customers in all other sectors using Talisma CIM (Customer Interaction Management) or Talisma KB:
  • nGenera remains your provider and there will be no change to your account.
Persons interested in applying for employment with Campus Management, or its Talisma CRM or Higher Education businesses, may visit http://www.campusmanagement.com/company/careers.asp. If you are currently a Talisma employees and have been notified that you will become a Campus Management employee, you will receive an informational packet from Campus Management at your primary place of work (if remote, your home residence). What are the products going to be called?
The Talisma brand is now the property of Campus Management; it is a valued trademark, registered in the US, India and other countries. The Talisma name will continue to be the primary business and product name used in North America, India and other markets outside the US until further notice.

In the Higher Education sector, Campus Management will use the Talisma name with the tagline, “A CampusCRM Solution,” reflecting an existing Campus Management trademark. Over time, CampusCRM will become the product name used in the Higher Education sector, accompanied by the tagline, “Powered by Talisma.”

The Talisma name will continue to be used worldwide for branding purposes outside of postsecondary education.

Will the Talisma CRM suite continue to be developed and advanced?
Campus Management has a roadmap for the Talisma CRM suite that will leverage the experience and skills of Talisma’s many associates. The company intends to pursue continued development of new features, integration and interface tools, and service offerings of value to current and future customers of both Talisma and Campus Management.

Campus Management’s existing customers have been awaiting its next generation CRM solution, and the Talisma application answers that demand.

Describe which products Campus Management will own, and which it will have rights to sell, integrate and support?
Through the terms of this transaction, Campus Management owns the Intellectual Property rights for Talisma Corporation’s Talisma CRM suite, and it will have exclusivity for a period to sell CRM-related offerings to Higher Education. Campus Management is also licensed to sell, integrate and support the Talisma Knowledgebase product. nGenera’s CIM product line will be re-branded as nGenera offerings, and unless otherwise notified, those customers outside of postsecondary education using the CIM and/or KB products remain customers of nGenera’s.

Will Campus Management offer Talisma CRM and Talisma Knowledgebase as an On-Premise and an On-Demand offering?
Campus Management offers its customers the choice of purchasing a software license and managing the products themselves on-premises, or having Campus Management host and manage its applications for them., Additionally, customers have the option to subscribing to the products as a Software-as-a-Service (SaaS) solution.

Transaction

When will the acquisition be finalized?
For purposes of business operations and control, employees, product development, marketing, sales and service, and customer support, the agreement between the companies is in effect at the time of this announcement.
